Siti Networks Ltd - 532795 - Closure of Trading Window
This is to inform you that as per the Company''s Code of Internal Procedures and Conduct for Prohibition of Insider Trading in Securities ("Company''s Insider Trading Code"), in connection with the Un-Audited Financials Results for the first quarter of financial year 2024-25 and three months ending on June 30, 2024 (hereinafter referred to as "Un-Audited Financial Results"), the Trading Window for dealing in the Equity Shares of the Company shall be closed for the Designated Persons of the Company from July 1, 2024 and the same shall remain closed until 48 hours after the announcement of Un-Audited Financial Results. Accordingly, all Designated Persons of the Company have been advised not to trade in the Securities of the Company during the aforesaid period of closure of Trading Window.

Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that the eleventh meeting of the Committee of Creditors of Siti Networks Limited was held on 20th June 2024, in terms of Section 24 of the Insolvency and Bankruptcy Code, 2016 read with Regulation 18 of the Insolvency and Bankruptcy Board of India (Insolvency Regulation Process for Corporate Persons) Regulations, 2016. During the meeting, the Resolution Professional discussed CIRP related updates in respect of inter alia, CIRP timelines, claims, legal and resolution process update. Following discussions, the CoC decided to extend the timeline of the Corporate insolvency Resolution Process (CIRP) and scheduled it for voting.

Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that the tenth meeting of the Committee of Creditors ("CoC") of Siti Networks Ltd. ("Company") was held on 22nd May, 2024 in terms of Section 24 of the Insolvency and Bankruptcy Code, 2016, read with Regulation 18 of the Insolvency and Bankruptcy Board of India (Insolvency Regulation Process for Corporate Pesons) Regulations, 2016. During the meeting, the Resolution Professional ("RP") has invited the Resolution Applicants to present their respective resolution plans to the members of the CoC. Pursuant to applicable regulations of the SEBI (LODR) Regulations, 2015 (hereinafter referred to as "SEBI Listing Regulations") including Regulation 30, this is to inform you that the Un-audited Financial Results, both standalone and consolidated, for the third quarter of the financial year 2023-24 and nine months ended on December 31, 2023, have been signed by the Resolution Professional (RP) while exercising the powers of Board of Directors of the Company which has been conferred upon him in terms of the provisions of Section 17 of the Insolvency and Bankruptcy Code 2016 and by the CEO of Siti Networks Ltd.
