 We hereby inform you that the Hon'ble NCLT, Kolkata Bench vide its order dated 20th December 2021 has directed the Company to convene meeting of the equity shareholders of the Company, for the purpose of considering, and if thought fit, approving with or without modification, the proposed Scheme of Arrangement between Usha Martin Limited and its shareholders under Section 230 and other applicable provisions of the Companies Act, 2013 on Saturday, 29th January 2022 at 11.00 a.m. (IST) through video conferencing/other audio visual means (VC/OAVM). In accordance with Regulation 30 of the SEBI Listing Regulations, we are enclosing herewith copy of the Notice along with Statement pursuant to Section 230 read with Section 102 and other applicable provisions of the Act and Rules made thereunder, which is being sent through electronic mode to the equity shareholders whose e-mail addresses are registered with the Company / Registrar and Transfer Agent / Depository Participants.
