About the Offer

Wipro Limited has declared a share buyback through the Tender Offer, in respect to the SEBI (Buy-Back of Securities) Regulations, 2018, and as per NSE Exchange Circular NSE/CMTR/52776 dated June 29, 2022.

This is Wipro's largest-ever buyback, aggregating up to ₹15,000 Crore, and its first such offer in nearly three years. Eligible shareholders are advised to examine the details below and act before the offer closes.

Eligibility

All shareholders holding Wipro equity shares in demat or physical form as of the Record Date (June 5, 2026) are eligible to participate, including investors who converted or cancelled ADRs into equity shares before the record date.

Under SEBI norms, shareholders holding shares worth up to ₹2 lakh at the buyback price — approximately 800 shares or fewer — are classified as Small Shareholders and are entitled to a reserved quota. Shareholders in the Small Shareholder (Reserved) Category are entitled to tender 11 shares for every 56 shares held as on the record date, while the General Category will be accepted on a proportionate basis.

Trading members already registered on the NSE web-based IPO bidding platform can use their present credentials. Members without access may log in via the admin terminal using the format Adminxxxxx (where xxxxx is the Member Code) to create branches and users.

For Demat Shareholders

  1. Inform your broker of the number of shares you wish to tender before the closing date.
  2. The broker will place the buyback bid on the exchange and transfer shares to the Clearing Corporation's special account.
  3. Unaccepted shares will be credited back to your demat account after settlement.

For Physical Shareholders

  1. Submit original share certificates along with supporting KYC documents to your broker.
  2. The broker places the bid and submits share certificates with a Transaction Registration Slip (TRS) to the Registrar — Kfin Technologies Limited.
  3. All documents must reach the registrar on or before June 17, 2026.
