 This is in furtherance to our letter with even number and dated 5th March, 2020, informing the receipt of letter by the Company wherein Shri Gaurav Sharma has tendered resignation as Company Secretary (CS) and Compliance Officer of the Company w.e.f. 15th March, 2020 (closing business hours). In this regard, this is to inform you that a meeting of the Board of Directors of the Company will be held on Thursday, the 12th March, 2020, to inter-alia, fill the casual vacancy in the office of CS and Compliance Officer caused due to resignation of Shri Gaurav Sharma.  This is in continuation of our letter dated 18th February, 2020, on the above subject. In the matter, we have to inform you that formalities in relation to shifting of RTA services from Link Intime India Private Limited to KFin Technologies Private Limited are still in process, and it will take some more time to move the services to the new RTA. In the meantime, Link Intime India Private Limited will continue to act as RTA of the Company and continue to render its services to the Company, Investors and Members. We will intimate the fresh date of change of RTA in advance, in due course.

KFin Technologies Private Limited ('KFin') (Category - I Share Transfer Agent - SEBI Registration No. INR000000221) as Registrar and Share Transfer Agent ('RTA') w.e.f. 1st March, 2020, in place of the existing RTA namely, M/s Link Intime India Private Limited ('Link Intime'). KFin has been engaged with a view to further improve the quality of services to the investors at an optimum cost. Moreover, KFin is also the RTA of the holding company i.e. HT Media Limited and other listed companies of HT Group.

 The Board of Directors at its meeting held on 13.01.2020 (which commenced at 4.15 p.m. and concluded at 4.45 p.m.) has, on the recommendation of NRC approved the appointment of Shri Sameer Singh, as an Additional Director (Non-executive Independent) w.e.f. 13.01.2020, to hold office upto the date of ensuing AGM. Shri Sameer Singh has been appointed as an Independent Director (Additional Director) on the Board for 5 years upto 31.03.2024, subject to approval of members.
