In addition to our clarification email dated December 23, 2022, we hereby would like to inform you that, Mr. Dinesh Raja Punniamurthy (DIN: 03622140) did not hold any directorship with any other listed company except in SecureKloud Technologies Limited as on the date of his resignation, viz, September 16, 2022. Hence, we did not specially provide for the same as it is a 'nil' disclosure.

Securekloud Technologies Ltd - 512161 - Announcement under Regulation 30 (LODR)-Cessation

 Pursuant to the directions set out in the Final Order of SEBI dated December 16, 2022, an appeal was preferred by Mr. Suresh Venkatachari challenging and praying for interim reliefs. The appeal was heard before the Hon'ble Securities Appellate Tribunal on January 19, 2023 and no interim reliefs as prayed were granted. Mr. Suresh is exploring possible legal remedies. Consequently, Mr. Suresh Venkatachari ceases to be the Chief Executive Officer (Key Managerial Personnel) of SecureKloud Technologies Limited with effect from January 19, 2023. The Board of Directors in its meeting today, resolved to redesignate Mr. Suresh Venkatachari as the President. He shall report to the Chief Executive Officer of the Company and will not involve himself in any policy decision making.

The Company is in the process of examining the same and evaluating the remedies available to it, as per law.

 We wish to inform that the Enforcement Directorate searched the premises of the Company in Chennai on November 29, 2022 and sought information regarding the case filed by the Promoter & CEO, Mr Suresh Venkatachari against Quantum Global Securities and Kumar Share Brokers for wrongful and illegal off-market transfer of shares on various dates in 2018. The company and its officials co-operated with the Enforcement Directorate and provided the data sought in this matter.
