Nel Holdings South Ltd - 533202 - Exit Of One More Residential Project In Wholly Own Subsidiary Of The Company

 We are pleased to inform that in line with our earlier intimations with regard to the strategy of exiting from the Residential Space projects, the Company has now entered into an agreement to exit from another project of the wholly owned Subsidiary - NUDPL Ventures Private Limited in Bangalore namely - 'Cape Cod': We have already signed and received the following: Business Transfer Agreement signed with incoming developer Consent from majority of the buyers for the transfer of the project No objection Certificate from the lender for one time settlement amount Formal application has been filed with RERA for approval We would to also like to inform that we have signed all the required documents regarding the transfer and exit of the project, but the RERA approval is still pending. We shall update and keep the exchanged informed once the approval form RERA is received.

Nel Holdings South Ltd - 533202 - Exit Of Residential Land Parcel/Project In Bangalore

 We are pleased to inform that in line with our earlier intimation dated 25th January 2019 with regard to the strategy of exiting from the Residential Space projects, the Company has now exited from another project, namely - 'Virgin Island', an 8 acre land parcel where we had a joint development rights. With this exit all the Customers who had pre-booked in this project have been repaid in full. The corresponding debts on this project has also been closed and discharged now. As this information seems to be material in the opinion of the Board of Directors of the Company, we wish to disclose to the Exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the benefit of the investors and other Stakeholders.

Nel Holdings South Ltd - 533202 - Closure Of Loan Upon Redemption Of Non-Convertible Debentures (NCD) Amounting To Rs. 125 Crores

 The Company with a view to raise finances for its various business activities had earlier in the year 2014 issued 1,250 secured, redeemable, non-convertible debentures carrying a face value of Rs. 10,00,000/- each amounting to Rs. 125 Crores. The Company out of 1,250 non-convertible debentures had partly redeemed 700 non-convertible debentures having a face value of Rs. 700,000,000/- in the year 2016. The balance principal of Rs. 55 Crores along with interest accumulated on the non-convertible debentures was due for maturity for the last many quarters. The Company is pleased to inform that the entire 1,250 NCDs have now been redeemed totally with this one time settlement with the institution. With this, the corresponding litigation have now been totally settled and the claim of 175 crores against these non-convertible debentures stands cancelled. Also, the corresponding debt in the books of the Company of Rs. 108 Crores stands reduced from the overall liability of the Company.

 With reference to the earlier intimation dated November 13, 2020 enclosing the unaudited Standalone and Consolidated Financial Results of the Company for the Second Quarter and Half year ended on 30th September, 2020 as approved by the Board of Directors together with the Limited Review Report as submitted by the Statutory Auditors, we would like to inform that the current tax figure in the Unaudited Standalone Financial Results of the Company for the Second Quarter and Half year ended on 30th September, 2020 was inadvertently missed out and was not mentioned. Also the rounding off error in Net Profit figure is corrected to match with the XBRL report filed earlier. The revised Unaudited Standalone Financial Results of the Company for the Second Quarter and Half year ended on 30th September, 2020 is enclosed again. Request you to take the above on record.
