 We hereby enclose a copy of Postal Ballot Notice dated November 19, 2020 together with the Explanatory Statement which will be sent to all the Members whose names appear on the Registrar of Members/ List of Beneficial Owner as on the cutoff date i.e., Friday, November 20, 2020. The Company has engaged the services of KFin Technologies Private Limited for providing e-voting facility to the Members. The voting through postal Ballot and e-voting will commence at 9:00 AM (IST) on Monday, November 23, 2020 and shall end at 5:00 PM (IST) on Tuesday, December 22, 2020 (both days inclusive). The results of the postal ballot will be declared on or before Wednesday, December 23, 2020.

 We are pleased to inform that in line with our earlier intimation regarding exit from the residential real estate business and deleveraging the overall debt of the Company, the Company have exited from another prime project, namely - Caesar's Palace by entering into a Settlement Agreement with Landowners and Caesar's Palace Buyers Welfare Association. Accordingly the issues related to the project and the underlying consumer litigation shall get settled. The necessary approval from RERA is still pending and is currently awaited.

Accordingly the corresponding debt associated with the project with the financial institutions and the underlying consumer issues shall get settled. As this information seems to be material in the opinion of the Board of Directors of the Company, we wish to disclose to the Exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the benefit of the investors and other Stakeholders.

Park Avenue Project 2. Knights Bridge Project We have successfully exited the above two projects after obtaining all necessary approvals from RERA, Karnataka and other authorities for transferring these projects to one the private developer in Bangalore. Accordingly the corresponding debt associated with the project with the financial institutions and the underlying consumer issues shall get settled. As this information seems to be material in the opinion of the Board of Directors of the Company, we wish to disclose to the Exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the benefit of the investors and other Stakeholders.
