 In accordance with Regulation 30 and other relevant provisions (if any) of the SEBI LODR Regulations, we hereby inform you that the Company has been advised on November 02, 2023 that a civil suit is filed by Mr. Sameer Kanwar, Joint Managing Director inter alia under the Specific Relief Act, 1963, in the High Court of Delhi inter alia, against: i) Mr. Surinder Paul Kanwar, Chairman and Managing Director of, inter alia, Bharat Gears Limited and father of Mr. Sameer Kanwar, Joint Managing Director. ii) Bharat Gears Limited And others who were party to the Memorandum of Family Settlement (MOFS) dated April 13, 2012; however Bharat Gears Limited is not a party to the alleged MOFS. Further the Company was served a copy of the plaint on November 07, 2023. Requisite Details in accordance with Regulation 30 of the LODR Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are enclosed herewith as Annexure-A.
