 In terms of Reg 30 of the SEBI (LODR), 2015, we hereby inform you that the Company has received the notices from NSE and BSE on 22 Feb 2024 regarding non - compliance with the provisions of Reg 17(1) of the SEBI (LODR), 2015, pertaining to non-availability of required Independent Directors including Woman Independent Director on the Board of the Company during the quarter ended 31 Dec 2023 and imposition of fine of Rs. 5,42,800/- Each by NSE and BSE for such Non Compliance. In response to the aforesaid notices, the Company has replied by letter No. GRSE/BD-69/CG/Q3 dated 23 Feb 2024 that the GRSE is a CPSE under the administrative control of MoD, GOI. The action for appointment of Independent Directors including Independent Woman Director on to the Board of CPSE is not in the hands of the Company and also beyond control of the Company. GRSE should not be held liable to pay the fines and the same should be waived-off. This is for your information and record.

 This has reference to our letter No. SECY/GRSE/BD-69/CA/26/23-24 dated 30 Jan 24 on the subject matter. In terms of Regulation 33, we are submitting herewith the following: a) Unaudited Financial Results for the quarter and nine months ended 31st December, 2023. b) Limited Review Report given by the Statutory Auditors on the Unaudited Financial Results for the quarter and nine months ended 31st December, 2023. Further, in terms of Regulation 30 and 42, we wish to inform you that the Board of Directors of the Company at their Meeting held on Tuesday, 13 Feb 2024 has declared an Interim Dividend for the Financial Year 2023-24 @ Rs. 7.92/- per equity share of face value of Rs. 10/- each, amounting to Rs. 90.73 crore, out of profits of the Company for the nine months period ended 31st December, 2023.
