 Garden Reach Shipbuilders & Engineers Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 13/02/2024 ,inter alia, to consider and approve In terms of Reg 29 of the SEBI (LODR) Reg, 2015, we inform that a meeting of the Board of Directors of the Company is scheduled to be held on 13 Feb 2024, to consider and approve the Unaudited Financial Results of the Company for the Quarter and nine months ended 31 Dec 2023 and to declare Interim dividend for the FY 2023-24, if any. Further, pursuant to Reg 42 of the SEBI LODR, 2015, it is informed that the Company has fixed Friday, 23 Feb 2024 as ''Record Date'' to determine the shareholders who are entitled to get Interim Dividend for the FY 2023-24, if declared by the Board of the Company. The Trading Window for dealing in securities of the Company shall remain closed from 01st Jan 2024 to 15 Feb 2024.

 In terms of Reg 30 and other applicable provisions of the SEBI LODR, 2015. we wish to inform you that company has received notices from NSE and BSE for imposing penalty of ?5,42,800 (Including GST@18%) each for the quarter ended 30 Sep 2023, for the Non Compliance of the Reg 17 (1) pertaining to failure to appoint required number of Independent Director including women Director. In this regard, it may be noted that GRSE is a Govt. Company under MoD. The appointment of IDs in the Company are being made by the Administrative Dept. i.e. Mint. of Defence, GOI. Since, the Matter was beyond the Control of the Company, application for waiver of fines as per the SEBI SOP Circular, were filed with the NSE, Designated Stock Exchange for the purpose, However it was directed to put up the case only after Compliance.
