Dear Sir/Madam, The Company has entered into a Brand and Content Licensing arrangement with a Dubai based radio broadcaster - Dolphin Recording Studio LLC ('DRS') to use the Company's trademarks and content. DRS operates Hindi/ Urdu language radio station currently branded as 'Suno FM'. It will now be rebranded as 'Radio Mirchi'/'Mirchi' on mutually agreeable terms and conditions. Both the parties are in the process of signing a Long Form Agreement which is expected to be completed by February 28, 2021. We refer to our earlier disclosure dated January 1, 2021, regarding Intellectual Property Appellate Board (IPAB) Order dated December 31, 2020 ('Order'). The IPAB's Order dealt with the ten applications filed by major FM Radio Broadcasters for fixation of royalty rates to be paid to the owners of the sound recordings under a Statutory License. Vide Order, IPAB has determined multiple rates based on the time slots ............. Based on the Company's assessment of the Order, we believe, post the IPAB Order, which is effective from October 1, 2020, the Company's royalty cost in the current financial year would be lower than its royalty cost in the previous financial year (2019-20) by approximately Rs. 5.50 Crores to 5.75 Crores. The above quantification is based on certain assumptions regarding music playouts in the radio stations currently run by the Company and accordingly may change at the end of the current financial year (2020-21). Dear Sir/Madam, Hon'ble High Court of Delhi, vide its common order ('Order') dated January 4, 2021, decided inter alia that license from only Phonographic Performance Limited ('PPL') (or owner / assignee of sound recording) is required for broadcasting of sound recording and that no license is required from the Indian Performing Right Society Limited ('IPRS') for broadcasting of sound recording. It however ruled that licence from IPRS is required for live public performance. Please refer to page numbers 37 and 38 of the attached Order for the directions of the Hon'ble High Court of Delhi. Intellectual Property Appellate Board (IPAB), vide its common order ('Order') dated December 31, 2020, decided ten applications filed by major FM Radio Broadcasters, involving common issues relating to fixation of royalty rates to be paid to the respective owners of the sound recordings, invoking Statutory License towards the broadcasting of the sound recording. The Order sourced from the website of IPAB - url - https://www.ipab.gov.in/order_delhi_cr.php is attached but should not be construed as a certified copy issued by IPAB. The issue of quantum of license fees payable by the FM Radio broadcasters to the music companies was the subject matter of dispute. ENIL is one of the parties to the said dispute and common Order. The Company is in the process of seeking legal advice in relation to the said Order and its impact and implication on the Company.
