The results are enclosed herewith for your record. - The Standalone and Consolidated Auditor''s Report for the financial year ended 31st March 2023 is also enclosed for your reference. - No dividend payout was declared for the financial year 2022-23.25-10-2023

Further to our letter dated 30th May 2023, the Company is additionally yet to receive the limited review report from the foreign subsidiaries for the quarter ended 30th June 2023, due to which it is unable to prepare the unaudited accounts on the consolidated basis. To date, the Company has not received the same. Consequently, the consolidated financials have got delayed and the Company is yet to file the same with the Exchange.25-10-2023

Pursuant to confirmation given by our Registrar & Transfer Agent (RTA), Integrated Registry Management Services Private Limited, this is to inform you that the share certificates, if any, received and confirmed for dematerialization by our aforesaid RTA for the quarter ended 30th September, 2023, were confirmed (accepted/rejected) to the depositories by them and the securities comprised in the said Certificates have been listed on the stock exchanges where the earlier issues securities were listed. They also confirm that any said Certificates received for dematerialisation have been mutilated and cancelled after due verification and the name of the depositories have been substituted in the register of members as the registered owner within 15 days. CRANES SOFTWARE INTERNATIONAL LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 25/10/2023 ,inter alia, to consider and approve the audited financial results for the financial year ended 31st March 2023. This has reference to our letter dated 30th May 2023 with regard to delay in approval of audited financial results for the financial year ended 31st March 2023. The Company has received the audited financials from its foreign subsidiaries and hence pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that an adjourned meeting of the Board of Directors of the Company which was scheduled to be on 30th May 2023, is now scheduled to be held on Wednesday, 25th October 2023 to interalia consider and approve the audited financial results of the Company for the financial year ended 31st March 2023. Further to our earlier communication in this matter, we wish to submit before you and in compliance of applicable provisions of the listing agreement that: Our company has applied seeking extension of time for holding the Annual General Metting of the Company, for the fiscal year 31st March 2023, vide SRN F63802888 on 2nd September, 2023, on the grounds that the Company has not been able to finalise consolidated accounts due to the non-receipt of audited results from one of the subsidiaries. The Registrar of Companies, Karnataka, has kindly granted an extension of two (2) months to convene and hold the AGM. for the fiscal year ending 31st March, 2023. The copy of the order of the Ministry of Corporate Affairs, is attached herewith for your reference. We hereby inform that all steps necessary are being taken by the management of the Company to comply with the provisions of the listing agreement and applicable laws.
