CRANES SOFTWARE INTERNATIONAL LTD. - 512093 - Announcement Under Regulation 30 (LODR) - Delay In The Publishing Of Financial Results

 This has reference to your mail dated 12th June 2023 with regard to the non-submission of financial results pursuant to Regulation 33 of SEBI (LODR) Regulations 2015 subsequent to which the Company had replied vide its email dated 23rd June 2023. In this regard, we wish to inform you that the Company vide its letter dated 30th May 2023 (outcome of the Board Meeting) had informed the Exchange that the Company was yet to receive the audited financial results from its foreign subsidiaries. To date, the Company has not received the same. Consequently, the Consolidated financial results have got delayed and the Company is yet to file the same with the Exchange. We hope to publish the Standalone and Consolidated Audited Financial results shortly. We request the Exchange for an extension of time for submission of the results.

 In this regard, we wish to inform that the Board met today and approved: 1. Appointment of Mr Supriya Kumar Guha as the Secretarial Auditor of the Company for the financial year ending 2022-23. 2. Appointment of Ms Apeksha Nagori as the Company Secretary cum Compliance Officer for the Company. 3. In absence of the receipt of the Audited financials of the foreign subsidiaries by the Company, the Company was not able to consolidate the financials of the consolidated basis and were not able to place it before the Audit Committee. The Audit Committee and the Board decided to adjourn the matter to a later date.
