 Shri C. Ravikumar, SGM (Projects) of the Company, vide his email dated October 29, 2020 informed that he has inadvertently purchased 5 equity shares of Power Finance Corporation Limited on October 14, 2020, during the trading window closure period. The matter was taken up in the Meeting of Board of Directors held on November 12, 2020 wherein the Board directed to issue an advisory to Shri C. Ravikumar, SGM (Projects)-Designated Person to be cautious in future and ensure complete compliance of the said Code. The said advisory issued to Shri C. Ravikumar, SGM (Projects)-Designated Person is enclosed. In this regard, the disclosure as prescribed vide SEBI Circular dated July 23, 2020 is enclosed.

POWER FINANCE CORPORATION LTD. - 532810 - Purchase Of Equity Shares Of Power Finance Corporation Ltd. By Director (Commercial), During Period Of Closure Of Trading Window.

 Shri Praveen Kumar Singh, Director (Commercial) of the Company, vide letter dated October 19, 2020 has informed that he inadvertently purchased 5,000 equity shares of PFC on October 5, 2020, during the trading window closure period. The above matter was considered at the Meeting of Board of Directors held on 12.11.2020 wherein the Board decided that Shri Singh, Director (Commercial) should dispose the 5,000 equity shares of PFC, purchased by him on October 5, 2020 during the period of closure of Trading Window immediately but not later than 7 days and the profit, if any, arising out of the said transaction including by way of any corporate action be remitted to PFC, for remitting the same to SEBI for credit to IEPF. Further, the disclosure as prescribed vide SEBI Circular dated July 23, 2020 is enclosed herewith. The details of transfer of funds to SEBI (IEPF) will be furnished, once the shares are sold by him & profit earned on the transaction, transferred by him to Company.

 In continuation of our letter dt. 4th November, 2020, wherein it was informed that Shri Tanmay Kumar, Joint Secretary, Ministry of Power has assumed the charge as Director (Government Nominee) on the Board of Power Finance Corporation Limited pursuant to communication of Ministry of Power, Government of India, vide order No. 8/1/2007-PFC Desk dated 4th November, 2020, it is hereby further informed that pursuant to said MoP order, the Board of Directors in its meeting held today i.e. 12th November, 2020 has appointed Shri Tanmay Kumar as Director (Government Nominee) on the Board of Power Finance Corporation Limited w.e.f. 4th November, 2020.
