As per Regulation 7 (2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, every listed entity shall ensure that all activities in relation to both physical and electronic share transfer facility are maintained either in house or by Registrar to an issue and share transfer agent registered with the SEBI. Further, in order to ensure above compliance, every listed entity shall submit a compliance certificate under Regulation 7 (3) of SEBI (LODR) Regulations, 2015 to the exchange, duly signed by both the compliance officer of the listed entity and the authorized representative of the share transfer agent, wherever applicable, within one month of end of each half of the financial year, certifying compliance with the requirements of sub- regulation (2). Pursuant to Reg 44 of the SEBI(LODR) Regulations, 2015 as well as Section 108 of the Companies Act, PFC had provided remote E-voting facility to the Shareholders of the Company in respect of all the items transacted at AGM held on 29/09/2020. The e-voting period commenced on 26/9/2020 at 10.00 am and ended at 5.00 pm on 28/9/2020 with cut-off date for determining eligibility of shareholders for e-voting being 23/9/2020. The Company had also provided voting at the said AGM held through VC on 29/09/2020 for all the resolutions. Shri Sachin Agarwal, PCS, who was appointed as a Scrutinizer has since submitted his Report to the Chairman.
