National Highways Infra Trust - 543385 - Corporate Action- Distribution On Units, Record Date Shall Be May 24, 2023.

 We hereby inform you that the meeting of the Board of Directors ('Board') of National Highways Infra Investment Managers Private Limited acting in the capacity of Investment Manager to National Highways Infra Trust ('NHAI InvIT') was held today i.e. 22nd May, 2023, wherein the Board, inter-alia, considered and approved the quantum of distributions to be paid to the unitholders of Rs. 1.6035 per unit for the quarter ended 31st March, 2023. The distribution will be paid (subject to applicable withholding taxes, if any) as Rs. 1.5778 per unit as Interest and Rs. 0.0257 per unit as other income on surplus funds at Trust level. The said distributions shall be paid within 15 days from the date of declaration. Further, the Record Date is declared as 24th May, 2023 to ascertain the eligibility of Unit holders entitled to receive the aforesaid distributions.

National Highways Infra Trust - 543385 - Clarification For The Disclosure Under Regulation 23(9) Of SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015 For The Half Year Ended 30Th September, 2022

 We would hereby like to clarify that NHAI InvIT is an InvIT registered with SEBI and listed with Stock Exchanges. The Trust has issued and allotted its NCDs on 25-10-2022 and has received listing and trading approval from the stock exchanges i.e., BSE and NSE on 27-10-2022, consequent upon which the NHAI InvIT became a high value debt listed entity and therefore, the CG Provisions i.e. Regulations 15 to 27 of the SEBI LODR Regulations, 2015 were made applicable to the NHAI InvIT on comply or explain basis. SEBI had on 22-11-2021 vide circular No 662, specified a format for disclosure of Related Party Transactions by Listed entities. While we were given to understand that the said circular was not intended for InvITs, we had besides filing the required statutory disclosures in our Standalone and consolidated financials also filled up the said format. However, we had now noticed that while filing the said format, we had through an oversight made a few error as per attachment.
