National Highways Infra Trust - 543385 - Information On The Execution Of Concession Agreements With Respect To Projects/Road Assets Offered By National Highways Authority Of India (NHAI) For Potential Acquisition To National Highways Infra Trust (NHAI Invit)

 In furtherance of our previous intimations dated 14/07/2022 and 23/05/2022, in relation to: (i) Agra-Bypass stretch in the state of Uttar Pradesh with a length of 32.8 km; (ii) Shivpuri-Jhansi stretch in the state of Madhya Pradesh with a length of 75.3 km; and (iii) Borkhedi-Wadner-Deodhari-Kelapur stretch in the state of Maharashtra/Telangana Border with a length of 138.15 km. The Draft Concession Agreements in relation to the aforementioned Projects/ Roads were finalized and executed between NHAI and the National Highways Infra Projects Private Limited ('SPV' of NHAI InvIT) at the close of office hours on Monday, 26/09/2022.

In connection with the proposed private placement of the units: a. Base Offer Price ('Floor Price') of Rs. 109/- per unit of the issue, b. Adoption of draft Preliminary Placement Document to be submitted to Stock Exchange (SE), c. Approval of bid/offer opening date as 30.09.2022 and bid/offer closing date as 03.10.2022. 2. Adoption of Draft Prospectus to be filed with SEBI and SE in connection with proposed public issue of NCDs. 3. Considered and approved Rs. 1.61 per unit to be paid as a distribution 4. Un-audited consolidated Financial Results of NHAI InvIT (including Cash Flow Statements for both Standalone and Consolidated) of NHAI InvIT for the quarter ended 30 June, 2022 along with Limited Review Report issued thereon by the Auditors of NHAI InvIT. 2.  We refer to the letter dated 18 September 2022 regarding intimation with respect to the matters approved by Resolution by Circulation on 17 September 2022 along with a copy of the Notice of Extraordinary Meeting ('EoM') of the Unitholders of National Highways Infra Trust ('NHAI InvIT') being held on Monday, 10 October 2022 at 11:00 am (IST) through Video Conferencing ('VC')/ Other AudioVisual Means ('OAVM') in accordance with the SEBI circular bearing reference no. SEBI/HO/DDHS/DDHS_Div2/P/CIR/2022/079 dated June 3, 2022, read with previous circulars and approval of the notice for calling of EOM.
