 Dear Sir/Madam, Further to the previous intimation dated today i.e. 30th August, 2022 ,wherein we have informed that the Board of Directors of National Highways Infra Investment Managers Private Limited, the Investment Manager ('IM') of National Highways Infra Trust ('NHAI InvIT') at its meeting held on Tuesday,30th August, 2022 have inter alia, considered and approved the calling of 1st Extra-Ordinary Meeting ('EoM') of the Unitholders ('Unitholders') of National Highways Infra Trust ('NHAI InvIT'or 'Trust') on Friday, September 23, 2022 at 5.00 p.m. (IST) through Video Conferencing ('VC')/ Other Audio-Visual Means ('OAVM') in accordance with the SEBI circular bearing reference no. SEBI/HO/DDHS/DDHS_Div2/P/CIR/2022/079 dated June 3, 2022 read with previous circulars and also approved the notice for calling of EOM. Accordingly, please find attached the Notice of EOM as Annexure-A. We request you to take the same on record.

Taking note of the valuation of the existing road assets as at 31st July 2022 by the Independent Valuer ,RBSA Valuation Advisors LLP 2. Taking note of the value discovered through the independent valuation by RBSA for the roads offered by NHAI 3. Raising of fresh funds through issuance of units through institutional placement and/or on a preferential basis or such other mode as may be permitted 4. Raising of debt through various sources including term loans, non-convertible debentures and/or any other mode 5. National Highways Infra Trust - 543385 - Payment Of Distribution To Unit-Holders

 Further to the intimation vide our letter dated 12th August, 2022 wherein it was informed that the Board of Directors ('Board') of National Highways Infra Investment Managers Private Limited (acting in the capacity of Investment Manager to National Highways Infra Trust (NHAI InvIT) at its meeting held on 12th August, 2022 declared Distribution for the for the quarter ended 30th June, 2022. It was informed that the record date for this distribution will be 16th August, 2022 and payment will be made on or before 27th August, 2022. Based on the said declaration of distribution by the Board of Investment Manager of Rs. 1.75 per unit, comprising of Rs. 1.74 per unit as return on capital and Rs. 0.01 per unit as other income on surplus funds at the Trust level, the distributions have been completed by 27th August, 2022 to the unit holders. Request you to take note of the same.

Considered and approved the Un-audited Standalone Financial Results of National Highways Infra Trust for the quarter ended 30" June, 2022 along with Limited Review Report issued by the Statutory Auditors thereon. 2. Considered and approved the quantum of distributions to be paid to the unitholders of Rs. 1.75 per unit for the quarter ended 30 June, 2022 aggregating to Rs. 1,04,16,00,000/- (Rupees One hundred and Four Crore Sixteen Lakh only) which shall be paid as Rs. 1.74 per unit as Return on Capital subject to applicable taxes, Rs. 0.01 per unit as other income on surplus funds at Trust level. The said distributions shall be paid on or before 27 August, 2022. Further, the Record Date is declared as 16 August, 2022 to ascertain the eligibility of Unit holders entitled to receive the aforesaid distributions.
