National Highways Infra Trust - 543385 - Intimation Of Early Closure Of The NCD Issue By National Highways Infra Trust ('NHAI Invit' Or 'Trust')

 We refer to the intimation vide our letter dated 11.10.2022, in relation to the public Issue of secured, rated, listed, redeemable, non-convertible debentures of face value of Rs. 1000/- each, (comprising three separately transferable and redeemable principal parts ('STRPP', as detailed hereinafter) an amount aggregating to Rs. 15,000 million by the Trust (the 'Issue'), regarding the outcome of the Board Meeting of National Highways Infra Investment Managers Private Limited ('NHIIMPL') dated 11.10.2022. Pursuant to the above and as mentioned in the Prospectus dated 11.10.2022, the issue opened on Monday, 17.10.2022 and was scheduled to close at 5 p.m. on Monday, 07.10. 2022, with an option for early closure or extension by such period as may be decided by Board.The Board, vide resolution passed by circulation on 17th October, 2022 approved the early closure of the Issue by the end of business hours on 18th October, 2022 upon full/over-subscription of the issue.

National Highways Infra Trust - 543385 - Completion Of Payment Of Distribution To Unitholders

 Further to the intimation vide our letter dated 27 September, 2022 wherein it was informed that the Board of Directors ('Board') of National Highways Infra Investment Managers Private Limited (acting in the capacity of Investment Manager to National Highways Infra Trust (NHAI InvIT)) at its meeting held on 27 September, 2022 declared Distribution for the for the period from 1 July, 2022 to 26 September, 2022. It was informed that the record date for this distribution will be 27 September, 2022 and payment will be made on or before 12 October, 2022. Based on the said declaration of distribution by the Board of Investment Manager of Rs. 1.61 per unit aggregating to Rs. 9,582.72 lacs to be paid as Return on Capital subject to applicable taxes at Trust level, the distributions have been completed by 12 October, 2022 to the unit holders.

 The Board of Directors ('Board') of National Highways Infra Investment Managers Private Limited acting in the capacity of Investment Manager to National Highways Infra Trust ('NHAI InvIT') considered and approved via circular resolution passed on 12th October, 2022 the allotment of 1,96,02,600 units of the NHAI InvIT (the 'Units') to National Highways Authority of India ('NHAI'/ 'Sponsor') at a price of ? 109.00 per Unit on preferential basis aggregating to ? 2,136.68 million and the allotment of 111,602,600 units of the Trust (the 'Units') to the eligible institutional investors, at an Offer Price of ? 109.00 per Unit through Institutional placement, aggregating to ? 12,164.68 million B. NHAI InvIT has received the Listing approvals from the National Stock Exchange of India and BSE Limited vide letters, each dated 12th October, 2022 and trading approvals vide letters each dated 13th October, 2022 for the abovementioned allotments to Sponsor and Institutional Investors.

National Highways Infra Investment Managers Private Limited ('Investment Manager') (acting on behalf of the Trust) received Bids from Eligible Investors, aggregating to ? 12,944.40 million. The Allocation of Units pursuant to the Offer, is subject to, including amongst others, the finalization of the Offer Price and approval of the board of directors of the Investment Manager.

 The Draft Prospectus for public issue by the National Highways Infra Trust (the 'Trust' or the 'Issuer') of secured, rated, listed, redeemable non-convertible debentures of face value of ? 1000/- each, (comprising three separately transferable and redeemable principal parts ('STRPP', as detailed hereinafter) namely 1 STRPP A of face value of ? 300/-, 1 STRPP B of face value of ? 300/- and 1 STRPP C of face value of ? 400/-, for an amount aggregating upto ? 15,000 million (hereinafter referred to as the 'issue'). The Issue will be of upto 15,000,000 NCDs (consisting of 15,000,000 STRPP A, 15,000,000 STRPP B and 15,000,000 STRPP C). The three STRPP will be of different face value, different maturity and shall be redeemable (i) at par; and (ii) in a staggered manner was filled with stock exchanges and SEBI on 30.09.2022.
