 This is to inform that pursuant to approval of the Board of Directors of POWERGRID Unchahar Transmission Limited ('PUTL'), the Investment Manager of POWERGRID Infrastructure Investment Trust('PGInvIT') in its meeting held on March 28,2022, PGInvIT (acting through its Investment Manager - PUTL) has entered into a facility agreement for Rs. 700 crore with HDFC Bank Limited on March 29, 2022 for part financing the funding requirements towards acquisitions being made by PGInvIT.

 This is in continuation to our earlier letters bearing no. CC/PUTL_COS/Stock Exchanges/28 dated February 18, 2022 and CC/PUTL_COS/Stock Exchanges/29 dated February 22, 2022 wherein we had informed that trading window for trading and dealing in units of POWERGRID Infrastructure Investment Trust ('PGInvIT') shall remain closed from Saturday, February 19, 2022 until 48 hours of the completion of process of the proposed acquisitions by PGInvIT. We wish to inform that the proposed acquisitions are under process. In view of the same and pursuant to the 'Policy on Unpublished Price Sensitive information and dealing in units by the parties to PGInvIT', the trading window for trading and dealing in units of PGInvIT shall continue to remain closed until 48 hours after the declaration of financial results of PGInvIT for the quarter and financial year ended March 31, 2022.

CC/PUTL_COS/Stock Exchanges/28 dated February 18, 2022 (copy enclosed), we wish to inform that the Board Meeting of POWERGRID Unchahar Transmission Limited- the Investment Manager to POWERGRID Infrastructure Investment Trust ('PGInvIT') scheduled to be held on Wednesday, February 23, 2022 to inter alia consider and approve the proposed acquisition of assets by PGInvIT, is postponed and shall now be held on Monday, February 28, 2022. We further wish to inform that the trading window for trading & dealing in units of PGInvIT which has been closed from Saturday, February 19, 2022 for Designated Persons in terms of the 'Policy on Unpublished Price Sensitive information and dealing in units by the parties to PGInvIT', shall continue to remain closed until 48 hours of the completion of process of the proposed acquisitions.

POWERGRID Infrastructure Investment Trust - 543290 - Closure of Trading Window

 In terms of Clause H of the UPSI Policy, the trading window for trading and dealing in units of PGInvIT by Designated Persons is required to be closed for a period of at least two days prior to the board meeting of the Investment Manager in relation to any proposed acquisition of assets. The Board Meeting of the Investment Manager to PGInvIT is scheduled to be held on Wednesday, February 23, 2022 to inter-alia consider and approve -(i) proposed acquisition by PGInvIT of balance 26% stake in its SPV viz. POWERGRID Vizag Transmission Limited from POWERGRID-the Sponsor to PGInvIT; and (ii) proposed acquisition by PGInvIT through its SPVs viz. PPTL, PWTL and PJTL of rights to additional revenue accrued on account of change in law to these SPVs, from POWERGRID. Accordingly, the Trading Window for trading and dealing in units of PGInvIT shall remain closed from Saturday, February 19, 2022 until 48 hours of the completion of process of the proposed acquisitions.
