 We, the Investment Manager of Tower Infrastructure Trust ('Trust'), hereby submit the details regarding proceedings and voting results of the business transacted at the First Annual General Meeting of the Unitholders of the Trust held today i.e. July 29, 2021, through video conferencing, in compliance with the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014 and SEBI circulars issued thereunder. In this regard, we are enclosing the following: a) Proceedings and Voting Results as Annexure I b) Scrutinizer''s Report dated July 29, 2021 as Annexure II The meeting commenced at 12:00 p.m. and concluded at 12:46 p.m.

Tower Infrastructure Trust - 543225 - Acquisition Of Space Teleinfra Private Limited

 Please note that the Tower InvIT Committee of Brookfield India Infrastructure Manager Private Limited (formerly known as WIP (India) Private Limited), acting in its capacity as Investment Manager of Tower Infrastructure Trust ('Tower InvIT'), has on July 20, 2021 approved the acquisition of Space Teleinfra Private Limited ('STIPL') for an equity consideration of INR 900 crore (subject to closing adjustments) and additional milestone-based considerations, which will be funded through a combination of cash and units of Tower InvIT to be issued to selling shareholders. The Tower InvIT has signed a binding agreement today i.e. July 20, 2021. The completion of the acquisition will be subject to unitholders and other regulatory approvals and other customary closing conditions. Please see attached press release being issued by the Tower InvIT in this regard.
