 This Letter is an intimation to Stock Exchange in respect of application for liquidation under Section 33(1)(a) of the Insolvency and Bankruptcy Code, 2016 filed by Resolution Professional ("RP") with Hon''ble National Company Law Tribunal ("NCLT"), Mumbai Bench on February 07, 2019 after non-approval of the Resolution Plan by the Committee of Creditors. It was informed earlier that the Hon''ble NCLT, Mumbai Bench vide an Order dated November 07, 2019 has approved the Resolution Plan of the Resolution Applicant M/s. Taguda Pte Ltd and Liquidation Petition filed by Resolution Professional has been rejected by the Hon''ble NCLT, Mumbai Bench. Further to the above information, NCLAT, Delhi Bench vide an Order Dated November 29, 2019 has stayed the order of NCLT and stated that Resolution Professional will manage the affairs of the Company and continue to discharge his functions as before. USHDEV INTERNATIONAL LTD. - 511736 - Extension Of Time For Filing Of Financial Results To The Stock Exchanges Under Regulation 33 Of SEBI (LODR) Regulations 2015

 This is to inform that Hon'ble NCLT, Mumbai bench vide order dated November 7, 2019, has approved the resolution plan ('Resolution Plan') submitted by Taguda Pte. Limited in the CIRP initiated against the Company under Section 7 of Insolvency and Bankruptcy Code, 2016. As per the Resolution Plan, all directors except Mr. Arvind Prasad shall vacate their directorship of the Company. The Resolution Applicant has the right to nominate directors on the board of the Company in accordance with the Companies Act, 2013. In this regard, since the Resolution Applicant is yet to nominate the directors of the board of the Company and newly appointed board. Thus, in light of the aforesaid facts and background and more specifically considering that the facts of present case being genuine, it is herein requested that the board of the Company should be given additional time of 90 days to file its standalone financial results for the quarter ended September 30, 2019.
