With reference to the captioned subject, we would like to inform you that the Company has signed License Agreement for two properties in Dapoli, Maharashtra under the Company's brand 'Lemon Tree Hotel' and 'Keys Lite by Lemon Tree Hotel'. The hotels are expected to be operational by October, 2023. Lemon Tree Hotel, Dapoli will feature 50 well-appointed rooms, a restaurant, a bar, banquet spaces, a swimming pool, a fitness center and other public areas. Keys Lite by Lemon Tree Hotels, Sylvan will feature 20 well-appointed rooms, a restaurant, banquet lawns, swimming pool, indoor and outdoor games facilities and other public areas. Carnation Hotels Private Limited, a wholly owned subsidiary and the hotel management arm of the Company will be operating these hotels. In continuation to the disclosure given on February 10, 2023 under Regulation 30(9) of SEBI (Listing Obligations & Disclosure Requirement) Regulations, 2015 w.r.t the transaction approved by the Board of Directors for acquisition of upto 22,00,000 Compulsorily Convertible Preference Shares ('CCPS') of Fleur Hotels Private Limited (herein after as 'Fleur') from the APG Strategic Real Estate Pool N.V, existing shareholder subject to necessary formalities and execution of documentation in this regard, we would like to further update that the Company has executed Securities Purchase Agreement('SPA') for acquisition of CCPS with APG Strategic Real Estate Pool N.V and Fleur on 22nd February, 2023. In terms of SPA, the company shall complete the acquisition of CCPS within 30 days from the date of execution of SPA. This is to inform you that the Board of Director's at its meeting held today has considered and approved the following: 1. Based on the recommendation of Nomination & Remuneration Committee, the Board of Directors has subject to the approval of the shareholders have approved the re-appointment of Mr. Patanjali Govind Keswani (DIN: 00002974) as Chairman and Managing Director of the Company for a further period of three (3) years with effect from April 1, 2023 to March 31, 2026 as his current term is expiring on March 31, 2023. The details required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 are given in Annexure A to this letter 2.
