 This is in furtherance to our disclosure dated August 10, 2023 wherein it was informed that the appeal filed by Ms. Shilpi Asthana (suspended board of director) before the Hon''ble National Company Law Appellate Tribunal ("NCLAT"), was dismissed vide order dated August 10, 2023. In light of same, we are enclosing herewith as Annexure-I, copy of aforesaid order dated August 10, 2023 passed by Hon''ble NCLAT. The order was uploaded on August 14, 2023 (post closure of business hours) on the website of Hon''ble NCLAT.

 This is in continuation to our intimation/disclosure dt August 8, 2023, intimating that the meeting of the Board of Directors of the Company will be held on Monday, the 14th day of August, 2023. In this context, kindly refer our disclosure dt August 10, 2023 informing that Ms. Shilpi Asthana, suspended Director of the Company has informed that while considering the appeal filed against order dt February 22, 2023 of Ld. NCLT, Mumbai pursuant whereof the CIRP initiated against the Company, the Hon''ble NCLAT vide its order dt August 10, 2023 has dismissed the said appeal. In view of commencement of CIRP against the Company under IBC, 2016 consequent upon passing of said order by Hon''ble NCLAT dt August 10, 2023, the Board Meeting of the Company scheduled to be held on Monday, 14th August, 2023 is cancelled. Further action in this context will be informed to the Stock Exchanges, once the Company receives the copy of said NCLAT order dt August 10, 2023.

 This is in continuation to our earlier disclosure date March 9, 2023 and March 10, 2023, pursuant to Regulation 30 and other applicable Regulations of the SEBI (LODR) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, informing that the Hon''ble NCLAT on March 7, 2023, while considering the appeal filed by Ms. Shilpi Asthana, suspended Director, has stayed the operation and effect of order of Ld. NCLT dated February 22, 2023. In this context, the Company has been informed by Ms. Shilpi Asthana, suspended Director of the Company, that the Hon''ble NCLAT on August 10, 2023 has dismissed the aforesaid appeal. The Company has not received the copy of the said order passed by Hon''ble NCLAT, which will be submitted once it is received.

 Pursuant to Regulation 30 and other applicable Regulations of the SEBI (LODR) Regulations, 2015, this is to inform you that it has come to the knowledge of the Company that a petition filed under title Axis Bank Ltd. Vs. Siti Networks Limited before the Hon''ble NCLT, Mumbai, was listed for hearing on August 4, 2023. However, the Company is yet to receive copy of said application/peition from Hon''ble NCLT. The Company shall update the matter as per SEBI Listing Regulations, once copy of application/petition is received from Hon''ble NCLT. Further, appeal filed by the suspended director of the Company is pending before Hon''ble National Company Law Appellate Tribunal ("NCLAT") against order dated February 22, 2023 of Hon''ble NCLT admitting the Company to corporate insolvency resolution process in the petition filed by IndusInd Bank Ltd. against the Company, which was stayed by Hon''ble NCLAT vide its order dated March 7, 2023.

 This is in continuation to our earlier disclosure dated April 25, 2023, pursuant to Regulation 30 and other applicable Regulations of SEBI (LODR) Regulations, 2015. In this context, we further inform you that Zee Entertainment Enterprises Limited (ZEEL) vide its letter dated August 4, 2023 has informed the Company that as a result of discharging liability of the Company (i.e. Term Loan - II) by ZEEL towards IndusIndia Bank Limited ("IndusInd"), ZEEL stands subrogated in place of IndusInd vis a vis Company.
