 Dear Sir/Madam, Pursuant to provisions of Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 and in continuation of our disclosure dated November 29, 2021 in connection with Joint Development of a Luxurious Residential Project at Tardeo, Mumbai, the said Joint Development will now be undertaken by Man Vastucon LLP, wherein the Company holds 99.99% partnership interest. As informed earlier, this landmark Project will be high-rise residential building having proposed height of over 250 mtrs. The Project has carpet area for sale of ~ 6 lakh sq. ft.  We would like to inform that Royal Netra Constructions Private Limited ('RNCPL') is engaged in the business of real estate development with specific concentration on redevelopment under the SRA Project at Goregaon (W), Mumbai ('Project'). The Company would be acquiring stake in RNCPL by way of merger of Platinumcorp Affordable Builders Private Limited ('PABPL') (wherein the Company holds one third shareholding interest) with RNCPL. Post the merger becoming effective, the balance shareholding of existing shareholders of RNCPL will be transferred to the shareholders of PABPL and thus full economic interest will be proportionately vested with the shareholders of PABPL. Further, RNCPL will issue Unlisted Secured Redeemable Non-convertible Debentures ('Debentures') in favour of the Company in lieu of its existing outstanding loan, which will be secured by certain carpet area in the Project.
