 This is to inform you that the Company is going to engage in negotiations with the existing shareholders of Regency Convention Centre and Hotels Limited, a subsidiary of the Company to buy out their combined 37.56 % equity shareholding held in the subsidiary and to make it a wholly owned subsidiary of the Company and further to sell or transfer or otherwise dispose of the Company's entire investment in the wholly owned subsidiary in the near future. The above negotiation is subject to the approvals and acceptance of terms and processes of the share purchase agreement that the Company is proposing to enter into with the existing shareholders of the subsidiary. The Company shall update you as and when the above purchase & sell of the investment takes place. This intimation may be considered as disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. This is for your purpose of dissemination.

 Madams / Sirs, Sub: Updates on the Scheme of Arrangement. This is to inform that the Hon'ble National Company Law Tribunal (NCLT), Kolkata Bench yesterday passed an order dated 6th February, 2019 sanctioning the Scheme of Arrangement between GJS Hotels Limited, the Company and Robust Hotels Private Limited and their respective shareholders pursuant to Section 230 of the Companies Act, 2013. The order was downloaded from the NCLT website today. The order of the Hon'ble NCLT, Chennai Bench is still awaited. Effect to the Scheme would be given once the Company receives the sanctioning order of the NCLT, Chennai Bench. This is for information and dissemination. Thanking You.
