 Further to our intimation dated September 16, 2019 wherein we informed that the Board had approved a Scheme of Arrangement for the demerger of the Company's [Demerged Company] division namely 'Investments including Investment in Hotel (South)' [Investment Division] into Robust Hotels Private Limited, a wholly owned subsidiary of the Company [RHPL/Resulting Company] in terms of Section 230-232, other applicable provisions of the Companies Act, 2013 and the Rules made thereunder as a going concern in compliance with Section 2(19AA) of Income Tax Act, 1961. Further, based on the revisions suggested by the Audit Committee, the Board has revisited and approved certain modifications to the Scheme

 Further to our letter dated 24th August, 2019, we hereby inform you that pursuant to the effectiveness of the Scheme of Arrangement involving the Company and its subsidiaries Robust Hotels Private Limited (RHPL) and GJS Hotels Limited (GJS), RHPL has filed forms for increase in Authorised Share Capital and also return of allotment with Registrar of Companies (ROC), Chennai and GJS has filed form for cancellation of 10730978 equity shares of Rs. 10/- each with ROC, West Bengal to give effect to the scheme.
