 We would like to inform you that the Board of Directors of the Company has, at its meeting held today, i.e. May 18, 2022, inter-alia, considered and approved the following:- a. Standalone and Consolidated Audited Financial Results of the Company for the Quarter and Financial Year ended March 31, 2022. The same were also reviewed by the Audit Committee in its meeting held earlier on May 18, 2022. A copy of the same along with the Auditors' Report is enclosed herewith as Annexure - A. b. Seeking shareholders' approval through Postal Ballot for : Appointment of Mr. Narotam Kumar Juneja (DIN: 01204817) as a Non-Executive Non-Independent Director; Adoption of new set of Articles of Association of Company; and Granting of loans, guarantees etc. and investment by way of acquisition of securities of any other bodies corporate & mutual funds etc. The meeting of the Board of Directors commenced at 12:30 P.M. and concluded at 2:40 P.M.

 PANACEA BIOTEC LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 18/05/2022 ,inter alia, to consider and approve the Standalone and Consolidated Audited Financial Results for the Quarter / Financial Year ended March 31, 2022. Further, pursuant to Regulation 46(2) of the SEBI LODR Regulations, notice of the said meeting is also being uploaded on the website of the Company. Further, with reference to our earlier announcement dated March 31, 2022 intimating the Closure of Trading Window pursuant to the Company''s Code of Conduct for Prevention of Insider Trading framed in accordance with SEBI (Prohibition of Insider Trading) Regulations, 2015, as amended from time to time, we would like to inform that the trading window of the Company shall remain closed for all Designated Persons of the Company and Material Subsidiaries of the Company till 48 hours after the declaration of the financial results by the Company i.e. till May 20, 2022.
