In-principle approval from the Board of Directors for the proposed merger of GeeCee Fincap Limited ('Transferor Company') with GeeCee Ventures Limited ('Transferee Company'), under Section 233 of the Companies Act, 2013 and Rules made thereunder wherein the ('Transferor Company') is a wholly owned subsidiary and the ('Transferee Company') is holding company, subject to necessary approvals with the appointed date as 1st April, 2023. As the Transferor Company is a Systemically Important Non-Deposit Taking Non-Banking Financial Company (NBFC-NDSI) it is regulated by Reserve Bank of India (RBI) and thus proposal for merger is subject to receiving of NOC from Reserve Bank of India (RBI).
