 This is further to our letters dated 23/04/2021 and 3/5/2021 informing about the decision of the Board to conduct postal ballot for obtaining approval of the shareholders for re-appointment / appointment of directors. We inform you the following wrt the corporate action of Postal Ballot: 1. The Co. has completed dispatch of Notice of Postal Ballot including explanatory statement ('Notice') through electronic mode today i.e. on 04/05/2021. 2. The Notice has been sent by e-mail to Members whose names appeared in the Register of Members/ Beneficial Owners received from the RTA, NSDL and CDSL as on 30/04/2021, being the Cut-off Date. 3. The Company has engaged the services of its RTA, Link Intime India Private Limited, for the purpose of providing remote e-voting facility to all its Members. 4. The remote e-voting shall commence at 9:00 am on 06/05/2021 and end at 5.00 pm on 04/06/2021. 5. The results of postal ballot will be declared not later than 06/06/2021.

 We wish to inform you that the Company has announced today i.e. 3rd May, 2021 a Voluntary Separation Scheme (VSS) for all its eligible permanent workmen employed on the rolls of the plant situated at B-1/2 & 1/3, MIDC Industrial Area, Chakan, Village Nighoje, Taluka Khed, Dist. Pune - 410 501, Maharashtra. Status of implementation of the VSS and financial impact thereof shall be ascertained and informed in due course after the scheme ends on 20th May, 2021. Compensation package offered under the VSS is consistent with the best industrial practices followed by the Company.

 This communication is further to our letter dated 23rd April, 2021, informing about the decision of the Board for, inter alia, seeking approval of the Members of the Company for re-appointment of independent directors for a second consecutive term, including Mr. Partho Datta, by way of postal ballot. Considering the sudden and sad demise of Mr. Partho Datta on 1st May, 2021, the Board, vide circular resolution passed on 2nd May, 2021, has modified the Notice of Postal Ballot ('Notice'). The revised Notice withdraws the proposal for re-appointment of Mr. Partho Datta, as an Independent Director, since the proposal has become infructuous.

 With profound grief and sorrow we inform you about the demise of Mr. Partho S. Datta (DIN 00040345), aged 72 years, on 1st May, 2021. Mr. Datta was a Non-executive Independent Director of the Company and the Chairman of the Audit Committee of the Company as also member on other Board constituted committees. Mr. Datta was associated with the Company since June, 2010 and over the years had rendered immense contribution to the Board and management based on his deep knowledge and experience of finance & accounts, business and strategy. His contribution, guidance and advice to the Company is immeasurable. All the Board members and employees of the Company express their deep sorrow and condolences to his family.
