This is to inform you that as per Regulation 15(2) of SEBI (Listing Obligation & Disclosure Requirements) Regulations, 2015, provisions of Related Party Transactions (Regulation 23 of the SEBI LODR Regulations. 2015) shall not apply to listed entities having paid up equity share capital not exceeding rupees ten crore and net worth not exceeding rupees twenty five crore, as on the last day of the previous financial year. Paid up equity capital and net worth of AVI Polymers Limited as on 31/03/2022 was Rs. 4,09,07,000/- and Rs. 4,70,79,066/- respectively. Hence provisions of Regulation 23 are not applicable to our company and therefore we are not required to submit Related party Transaction Report in XBRL mode for the quarter and year ended on 31st March,2023 under the Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 201531-05-2023

With reference to your Letter No- L/SURV/ONL/PV/VK/ 2023-2024 / 3304 dated April 28, 2023 regarding clarification on price movement, we hereby submit that the company has always disclosed, to the stock exchange, all the material information, which has a bearing on the operations/ performance of the company including all necessary disclosures in accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements ) Regulations, 2015 (the 'Listing Regulations') within the stipulated time. We hereby further submit that we are not aware of the reason of significant movement in the price of our shares.
