Pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015, it is informed that pursuant to requirement of BSE, the Company at its board meeting held on 20.06.2023 considered the fresh valuation report dated 17.06.2023 issued by Mr. Siwach, Registered Valuer, determining the fresh Share Exchange Ratio wherein value per share of the company is arrived at INR 89.94/- and fresh fairness Opinion dated 17.06.2023, issued by 3Dimension Capital Services Ltd, Merchant Banker based on the fresh share exchange ratio determined by the registered valuer. The Company in its board meeting held on 20.06.2023, has decided to proceed with the old share exchange ratio as per the previous Valuation Report dated 27.09.2022 issued by Mr. Siwach, approved at its meeting held on 28.09.2022 wherein the value per share of the Company was arrived at INR 92.05/- and upon discussion with the management of the Transferor Companies and the Company, the Board decided to consider the value per share at INR 125/.
