In compliance with Regulation 29 read with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we have to inform you that a meeting of the Board of Directors of the Company is scheduled to be held at Noida (Uttar Pradesh) on Tuesday, 04th June, 2019 inter-alia to consider the proposal for recommendation of payment of Final dividend for 2018-19 on equity shares. Further, Pursuant to above, the Trading Window for dealing in the securities of NFL shall remain closed from 22nd May, 2019 to 6th June, 2019 (both days inclusive) in terms of Code of Conduct for regulating and reporting Trading by Designated persons and their immediate relatives for National Fertilizers Limited (Code).

 This is with reference to your Notice no. L1ST/COMP/Reg.27(2) & Reg. 17 to 21/Dec18/ 523630/1093/2018-19 dated 31 .01 .2019 regarding non-compliance of Regulation 17 (1) of SEBI (LODR), Regulations , 2015. The notice was placed before the Board in its 433rd Meeting held on 25.03.2019. Board deliberated the issue and made the following comments/observation: "Board had detailed deliberations and observed that since Directors were appointed by the Government of India, Company should take up the matter with DoF for appointment of requisite number of independent directors and should also take up with SEs to withdraw the Notice, waive off fine and exempt NFL from compliance in Clause 17(1) of SEBI (LODR) Regulations , 2015, being a Govt. Company." We again request you to withdraw the notice and waive off the fine and exempt NFL from compliance in Clause 17 (1) of SEBI (LODR) Regulations .
