ROSSELL INDIA LTD. - 533168 - Disclosure Under Regulation 31(1)(A) Of SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015

 Kindly be advised that we have obtained the Trading Approval from both the Stock Exchanges viz. BSE Limited and National Stock Exchange of India Limited, on 3rd March, 2023, which become effective from today, i.e. 6th March, 2023, for 10,00,000 Equity Shares allotted to BMG Enterprises Limited on 16th December, 2022 upon conversion of 10,00,000 0.01% Compulsorily Convertible Preference Shares, on preferential basis. In view of the above, we tried to submit the Shareholding Pattern of the Company to both the Stock Exchanges on 5th March, 2023, for the purpose of compliance with the Regulation 31(1)(a) of SEBI LODR Regulations, 2015 , but Login portal of Stock Exchanges poped-up with the message as given in enclosed letter and we are unable to upload the same. Based on the enclosed letter we conclude that the provisions of Regulation 31(1)(a) of SEBI(LODR) Regulations, 2015 is not applicable to our aforesaid listing of Equity Shares of the Company.

 With reference to our letter dated 12th July, 2022, kindly be advised that based on the recommendations of the Audit Committee and vetting by the Independent Directors, the Board of Directors at its Meeting held today i.e. 25th February, 2023 has approved the Revised Scheme of Amalgamation ('Scheme') between BMG Enterprises Limited ('Transferor Company') and Rossell India Limited ('Transferee Company') and their respective Shareholders to capture the followings events subsequent to the approval of the Proposed Scheme by the Board: a. Conversion of 10,00,000 0.01% Compulsorily Convertible Preference Shares (CCPS) of Rs.10 each allotted to BMG Enterprises Limited into 10,00,000 Equity Shares of Rs.2 each; and b.
