This is to inform you that the board of directors of Zuari Farmhub Limited ("ZFL"), a wholly owned subsidiary of Zuari Agro Chemicals Limited ("ZACL") has approved to undertake a scheme of capital reduction of ZFL under Section 66 of the Companies Act, 2013 for reduction of ZFL''s issued, subscribed and paid-up capital from INR 785,57,00,000 consisting of 78,55,70,000 equity shares of INR 10 each to INR 86,60,26,000 consisting of 8,66,02,600 equity shares of INR 10 each by cancellation and extinguishment of 69,89,67,400 equity shares of INR 10 each held by ZACL in ZFL by writing off/adjustment of negative balance in the capital reserve account of ZFL in accordance with the terms of the scheme of capital reduction, subject to the confirmation of the jurisdictional National Company Law Tribunal & such other approvals, consents, permissions and sanctions, as may be required to be obtained from appropriate Governmental authorities, departments, offices, institutions, bodies, agencies. Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that Zuari Farmhub Limited ("Subsidiary"), a wholly owned subsidiary of Zuari Agro Chemicals Limited ("the Company") has allotted 78,55,60,000 (Seventy Eight Crores Fifty-Five Lakhs and Sixty Thousand) equity shares of INR 10/- (Indian Rupees Ten) each to the Company on 15th June, 2022, due to conversion of 7,85,560 (Seven Lakhs Eighty-Five Thousand Five Hundred and Sixty) unsecured Compulsorily Convertible Debentures ("CCD") of face value of INR 10,000 held by the Company in the Subsidiary. The CCDs were converted at the conversion rate of 1000 equity shares for every one CCD determined on the basis of the valuation report. Further, pursuant to the aforesaid conversion of CCDs into equity shares there has been no change in the shareholding pattern of the Subsidiary and the Subsidiary continues to be a wholly owned subsidiary of the Company.
