 Board of Directors, in their meeting held on May 5, 2023 (started at IST 6:30 pm), had considered below: 1. Approved Audited Financial Results for the quarter and year ended March 31, 2023. 2. Recommended a final dividend of Rs. 1.50/- per equity share of Rs. 2/- each for the financial year 2022-2023. The final dividend, subject to Shareholders' approval in the ensuing AGM, shall be paid on or before 30 days from the date of its approval in the AGM. 3. Approved re-appointment of Shome & Banerjee, Cost Accountants as Cost Auditors of the Company for the financial year 2023-2024. 4. Approved re-appointment of RMG & Associates, Practicing Company Secretaries as Secretarial Auditors of the Company for the financial year 2023-2024. 5. Approved appointment of CA Sushil Kumar Dalmia as an Additional and Independent Director of the Company for a first term of 5 consecutive years with effect from May 24, 2023 till May 23, 2028 The meeting closed at IST 9:25 pm.
