 We wish to inform you that the promoters along with the persons acting in concert holds 97974020 equity shares in Steel Strips Wheels Limited, which is 62.60% of the total paid up capital of the company and out of which 15418530 equity shares were pledged which is 9.85% of total paid up capital of the company and 15.74% of total promoter shareholding. On 31.12.2022, 1800000 shares were released from pledge. Accordingly, now the total number of shares pledged has reduced to 13618530 which is 8.70% of the total paid up capital of the company and 13.90% of the total promoter shareholding.

 We are pleased to inform you that the Company has prepaid its term debt of Rs. 81.26 crores in the current Quarter as on date and after this prepayment along with normal repayments for the period, the Company''s Long Term debt is reduced to Rs. 270.20 Crores as on date from Rs. 374.39 Crores as on 31st March 2022. The Company is working to further pre-pay its long term loans in the next Quarter, so as to remain on course on its target of achieving a financial leverage of sub 1.5 times of total debt.

 Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, we would like to inform that Steel Strips Wheels Limited (SSWL) has acquired 2,600 shares of Rs. 10/- each (26% stake of paid-up share capital) in Clean Max Astria Private Limited for a consideration of Rs. 26,000/- and will further invest, in one or more tranches, about Rs. 3.96 crore in Clean Max Astria Private Limited maintaining its shareholding to 26% of the paid-up share capital as per the Shareholders' Agreement. The details as required under SEBI LODR read with SEBI Circular No. CIR/CFO/CMD/4/2015 dated 9th September, 2015 are attached as Annexure A.

 This is in continuation to our letter dated 17.11.2022 vide which we had informed the exchanges that Employee Compensation Committee (ECC) of the Company had granted 5,00,000 stock options on 17.11.2022 to eligible employees of the Company in accordance with "Steel Strips Wheels Limited- Employees Stock Option Scheme, 2021' (ESOS 2021). Each option shall entitle the holder to acquire one (1) equity share of Re. 1/- each of the Company at an exercise price of Rs. 20/- per share. However, in the earlier intimation dated 17.11.2022, it was inadvertently mentioned as Rs. 10/- per share instead of Rs. 20/- per share. Other terms & conditions remains the same
