 , we wish to submit that the Company has already appointed Dr. Sheela Bhide, as Independent Non-Executive Director (Women) w.e.f. 17-09-2021, thereby fulfilling both the requirements i.e. Composition of Board and Appointment of Women Director on the Board of the Company. Further, please note that the Central Government had declared the Covid-19 pandemic as an ''Act of God or Natural Calamity, which happened across the Globe and the same term "The Act of God'' is also referred by SEBI under the SEBI SOP circular, which is one of the reasons for waiver/ reduction of penalty.
