Approved the unaudited Financial Results for the Second quarter and half year ended on 30th September 2023. A copy of the unaudited Financial Results duly recommended by the Audit Committee and approved by the Board of Directors of the Company together with Audit Report with modified opinion are enclosed herewith. Please take the above on record and kindly treat this as compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

 Mrs. Pravina Shetty wish to transfer 2,00,000 fully paid-up Equity Shares of Rs.10/- each held in VXL Instruments Limited (''the Company'') to her son Mr. Rishabh Shetty and Ms. Ridhima Shetty who are also part of the Promotor Group, by way of Gift. This being an inter se transfer of shares between Promoter Group, the same falls within the exemption under Regulation 10 of SEBI (Substantial Acquisition of Shares and Takeovers) Regulation, 2011. This is in the nature of transfer of shares through an off-market transaction between Promoter Group who are immediate relatives.
