 In the meeting of the Board of Directors of Simbhaoli Sugars Limited, held on Saturday, June 27, 2020, which commenced at 4.00 PM and concluded at 6:15 PM, the decisions were taken as follows: The consolidated audited financial results for the year ended on March 31, 2020 could not be considered and approved due to non-finalization of audited financial results of Simbhaoli Power Private Limited, a material subsidiary company, and the Company will re-convene the meetings of the Audit Committee and Board of Directors to consider and approve the standalone and consolidated audited financial results for the year ended March 31, 2020 within the permissible time as prescribed under the provisions of SEBI LODR Regulations, 2015.

 We hereby submit that Simbhaoli Sugars Limited is engaged in the manufacturing and production of Essential Commodities,while operations fall under the category of ''Essential Activities''issued by the GOI. As a result,there was little to no disruption of Operations of the units/divisions of the Co.The activities at the Co's manufacturing units are being carried out in normal course with adoption of safety,security and other measures.In addition,the Co. has started manufacturing Hand Sanitizers in its Distilleries during this period,as permitted by the GOI.The sale and movement of our finished products was affected for a short period of time initially due to lockdown-related logistical issues across the country,but things are steadily resuming to normal for the Company.The Co. has not yet quantified any separate impact of COVID at this stage.The Co's personnel at the Corporate Office have been working from home,with usage of appropriate online technology.
