Bharat Road Network Ltd - 540700 - Intimation Under Regulation 30 Of The SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015

 Please note that Orissa Steel Expressway Private Limited (OSEPL), one of the subsidiaries of the Company, has won an Arbitration Award of Rs. 322.77 crores in the matter of Arbitration Proceedings between OSEPL and National Highway Authority of India (NHAI). Brief of the matter OSEPL was incorporated for four/two laning of Rimuli- Roxy-Rajamunda section of NH-215 from km 163.00 to km 269.00 in the state of Odisha to be executed as build, operate and transfer BOT (Toll) project on design, build, finance, operate and transfer (DBFOT) pattern under National Highways Development Project (NHDP) phase-III as per the Concession Agreement dated July 6, 2010 signed with NHAI. The project was foreclosed majorly due to delay in handing over of the requisite land from NHAI. Consequently, OSEPL had referred the matter to Arbitration for settlement of its claims. Arbitration commenced on 18th April, 2018 and concluded on 15th December, 2018 and the award was published on 31st March, 2019.

 Pursuant to and in terms of Regulation 30 of the Securities Exchange Board of India (SEBI) (Listing Obligations and Disclosure Requirements) Regulations, 2015, please be informed that Securities and Exchange Board of India (hereinafter 'SEBI') in the matter of alleged financial mismanagement and diversion of funds in Religare Finvest Ltd (hereinafter referred to as 'RFL'), a subsidiary of Religare Enterprises Limited (hereinafter referred to as 'REL') for the benefit of promoters / group companies of REL, has passed an ad-interim ex-parte order on March 14, 2019 bearing reference no. WTM/GM/IVD/100/2018-19 against 25 entities which includes our Company i.e. Bharat Road Network Limited. SEBI has directed inter alia that Noticee Nos 3 to 25, which includes our Company i.e. Bharat Road Network Limited shall not, till completion of investigation and till further orders, dispose of or alienate any of their assets or divert any funds, except for meeting expenses of day-to-day business operations, without the prior permission of SEBI. The Company is considering filing representations and replies, before SEBI within 21 days from the date of receipt of the Order i.e. 19.03.2019 and avail an opportunity of personal hearing. The financial and/or and any other implications arising out of or in connection with the said Order cannot be determined as on date hereof.

IL & FS Financial Services Limited, who had extended us a Term Loan facility of Rs. 70 Crores, Interest and Principal amount payment by us has been delayed since 30th September, 2018 as one of the IL & FS Creditors has raised a dispute to us, requesting us to hold back IL & FS dues, since IL & FS has failed to repay its dues to this Creditor. While we are trying to resolve the dispute amicably, the information herewith is being put on record for the subject purpose. This is for your information and record.
