 RATNAMANI METALS & TUBES LTD.-has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 10/11/2022 ,inter alia, to consider and approve Pursuant to Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the Meeting of the Board of Directors of the Company is scheduled to be held on Thursday, November 10, 2022, to inter alia consider and approve the Unaudited Financial Results (Standalone & Consolidated) for the quarter and half year ended on September 30, 2022 and other business matters. Further, as intimated earlier vide our letter dated September 28, 2022, we inform you that, pursuant to the SEBI (Prevention of Insider Trading) Regulations, 2015 and the Company''s Code of Conduct for Prohibition of Insider Trading by the Designated Persons of the Company, the Trading Window for dealing in the securities of the Company by the Designated Persons will remain closed from Saturday, October 1, 2022 up to Saturday, November 12, 2022 (both days inclusive) for the purpose of announcement of the aforesaid Unaudited Financial Results.

 We wish to inform that, Ratnamani Metals & Tubes Limited ('the Company''''), today (i.e. 5th October 2022), has entered into the Definitive Agreements for the Subscription of Equity Shares and acquisition of the Equity Shares in Ravi Technoforge Private Limited ('RTL') from its existing shareholders in three tranches over the period based on the performance metrics and other terms & conditions. It may kindly be noted that subject to the satisfaction of the stipulated Conditions Precedents ('CPs'), the Company shall hold ~53.00% stake on fully diluted basis in RTL on the first closing. The 1st Tranche of ~53.00% stake acquisition shall consist of 26% of the issued, subscribed and paid-up share capital through share subscription in RTL under the preferential allotment and ~27% of the issued, subscribed and paid-up share capital in RTL (post dilution) through purchase from the existing shareholders.

We also refer to the email query of the BSE Limited dated September 13, 2022, wherein the following discrepancy has been observed: 'Consolidated Results - Confirm Limited Review Report is for Standalone or Consolidated Result (In Paragraph Standalone Financial Results Mentioned). Kindly Confirm & Resubmit for Quarter ended - June2022' In this regard we submit that due to inadvertent typographical error 'standalone' financial results was mentioned instead of 'consolidated' financial results on the page no.5 of the above mentioned letter dated August 9, 2022, before the Consolidated FR.
