Dear Sir, With reference to the subject captioned above, we would like to state that SEBI vide its circular no. CIR/ CFD/ CMD1/ 27/ 2019 dated 8th February, 2019 have prescribed the submission of Annual Secretarial Compliance Report by listed entities on compliance of all applicable SEBI Regulations and circulars / guidelines issued there under and the report shall be submitted to the Stock Exchange within 60 days from the end of the Financial Year. Further circulars issued by the SEBI in this regard i.e. circular no. LIST/COMP/10/ 2019- 20 and LIST/COMP/12/ 2019-20 dated 9th May, 2019 and 14th May, 2019 respectively have clarified that the above mentioned compliance is not applicable to Listed entities falling under the category of Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirement), 2015.
