V-MART RETAIL LTD. - 534976 - Disclosure Under Regulation 30 Of SEBI (LODR) Regulations - Acquisition Of The Business Undertaking As A Going Concern Of Limeroad From A.M Marketplaces Pvt. Ltd., On A Slump Sale Basis

 Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), we wish to inform you that V-Mart Retail Limited ('Company') has entered into a business transfer agreement dated 17th October , 2022 ('Business Transfer Agreement') with A.M. Marketplaces Private Limited ('LimeRoad') and certain other parties for the acquisition of its LimeRoad Business (as defined below in Annexure I), as a going concern, on a slump sale basis, for a lump sum consideration (as particularly set out in Annexure I below). ('Transaction') The consummation of the Transaction is subject to certain conditions precedent and closing conditions, as agreed under the terms of the Business Transfer Agreement. The Board of Directors in its meeting held on 17th October, 2022 has approved the Transaction.

 This is to inform you that the Company has opened sixteen (16) new stores and closed two (2) stores in the July - September quarter of FY 2022-23. The 16 new stores include three (3) stores in Bihar, three (3) in Assam, three (3) in Uttar Pradesh, two (2) in Uttrakhand, one (1) in West Bengal, one (1) in Madhya Pradesh, one (1) in Andhra Pradesh, one (1) in Tamil Nadu and one (1) in Odisha. The two stores closed include one (1) store in Jharkhand and one (1) in Uttrakhand. With this the total number of stores now stands at 405 stores as at 30th September, 2022. Kindly treat this as intimation under the applicable regulation of SEBI (Listing Obligation and Disclosure Requirements), Regulations, 2015.

 This is to inform you that, pursuant to the SEBI (Prohibition of SEBI Insider Trading) Regulations, 2015 as amended by the SEBI (Prohibition of Insider Trading) (Amendment) Regulations, 2018 and as per the NSE circular no.: NSE/CML/2019/11 and BSE circular no. LIST/COMP/01/2019 20 dated 2nd April, 2019 regarding Trading Restriction Period, the 'Trading Window' for dealing/ trading in the shares of the Company shall remain closed from Saturday, 1st October, 2022 till the completion of 48 hours after the declaration of financial results of the Company for the second quarter and half year ended 30th September, 2022 (both inclusive). Accordingly, all the Designated Persons and their immediate relatives are being intimated not to enter into any transaction involving dealing/trading in shares of the Company during the aforesaid period of closure of the Trading Window.
