Nitesh Estates Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 13/02/2019 ,inter alia, to consider and approve Pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, a meeting of the Board of Directors of the Company is scheduled to be held on Wednesday, the 13th Day of February, 2019 inter-alia to consider and approve the unaudited financial results for the quarter ended December 31, 2018. Pursuant to the SEBI (Prohibition of Insider Trading) Regulations, 2015 and in accordance with the Code of Fair Trade Practices and Code of Conduct for prevention of Insider trading of the Company, the Trading Window of the Company shall remain closed from the 26th Day of January, 2019 till the 15th Day of February, 2019 (Both days inclusive). The results will be declared on the conclusion of the meeting.

Nitesh Estates Ltd - 533202 - Holding Company Structure

Further to our earlier letter dated 18th January, 2019, wherein we have indicated that the Company shall be soon exiting from the Residential Housing space. Upon completion of on-going 11 residential projects and all obligations of delivery to our Customers, other Stakeholders and lenders in the residential business, we shall be focusing on rent yielding assets and other verticals. In this regard, it is decided as a strategy that going forward, the Company will perform in a Holding Company structure constituting with various business verticals such as Office buildings, Healthcare Real estate, Warehousing, Amusement Parks, Hotels & Resorts, Data Centres, etc. including Facilities Management. As such it has been decided that Nitesh Estates Limited (NEL) will be henceforth named as 'NEL Holdings'. The Board of Directors of the Company in their earlier meeting has already approved for the abbreviated name - 'NEL Holdings Limited'. The Company has already obtained necessary name approval from the Ministry of Company Affairs, New Delhi for its new name and subject to the Shareholders' approval and other approvals from the relevant authorities, the Company shall now be moving ahead in its next level of planning and strategic decisions in its new name. As this information seems to be material in the opinion of the Board of Directors of the Company, we wish to disclose to the Exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the benefit of the investors and other Stakeholders. We would like to inform the exchanges that we in the midst of exiting few residential land parcels as well as some assets where term sheets which is confidential at this stage has been signed with the prospective buyers/investors. With the above developments we intent to reduce our overall debt as per the balance sheet by an extent of Rs. 700 crores which we expect to close within next 180 days. Since these are all under different stage of diligence and legal process, there may be lot of speculations on some of these actions of these land exits. As this information seems to be material in the opinion of the board of directors and to avoid any such confusion in future or any sort of speculation in media or otherwise, the Company wish to disclose this material information to the exchanges under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, for the benefit of the investors and other stake holders. We would like to inform the exchanges that keeping in mind the long term business strategy and after several months of internal discussions and debates with various Strategic Advisors, Board Members, Senior Employees, Industry Experts, we have come to the conclusion that we shall be soon exiting from the Residential Housing space. Currently the Company has 11 on-going residential projects out of which many of them are in the final stages and shall be completed in this calendar year and the few of the above 11 projects may spill over to the following calendar year. We would further like to inform that once we complete all our obligations of delivery to our customers, other stake holders and lenders in the residential business, we shall be exiting this space of home building (Residential) totally. All the land parcels for the residential projects which we hold and have not launched the project shall either be exited completely or sold down to reduce the debt or converted to commercial wherever the same is feasible. Going forward company shall focus only on rental producing assets, namely: 1. Commercial Offices/IT parks 2. Warehouses & Logistic Parks 3. Healthcare Real estate 4. Hotels & Resorts 5. Data Centers 6.
