 The NCLT, Bengaluru Bench vide its order delivered on dated 29th day of September, 2022, has sanctioned the Scheme of Merger by Absorption of Gujarat Polybutenes Private Limited ('Transferor Company') with Gujarat Petrosynthese Limited ('Transferee Company') and their respective Shareholders, the Merger sanctioned is of Wholly-owned subsidiary into its parent Company i.e., Transferee Company, the certified copy of the order is received by the Transferee Company on 21st October, 2022.  This is to inform you that the 45 AGM of the Company was held on Thurs,29/09/2022 at 11AM through VC & venue of the meeting was deemed to be registered office of the Company. The Company had tied up with CDSL to provide facility for voting through remote e-voting, e-voting during the AGM & participation in the AGM through VC/OAVM facility. The remote e-voting commenced on Mon,26/09/2022 at 9AM and ended on Wed, 28/09/2022 at 5PM. The facility for voting through e-voting system was also made available during the meeting & the voting facility was also available for 15 minutes after the conclusion of the meeting. Accordingly, the Consolidated Report (Remote e-Voting and e-Voting at the AGM) pursuant to Reg. 44(3) of SEBI LODR along with the Scrutinizer Report submitted by M/s. Makarand M. Joshi & Co., PCS engaged as Scrutinizer is attached herewith. Based on this, as annex, all Resolutions as set out in Notice of 45 AGM have been duly approved by the shareholders with requisite majority.

 As per the SEBI (PIT) (Amendment) Regulations, 2018, (including Second Amendment Regulation dated July 25, 2019, the 'Trading restriction period' shall be made applicable from the end of every quarter till 48 hours after the declaration of Financial Results. As per the clarification issued by the BSE vide Circular No. LIST/COMP/01/2019-20 dated April 02, 2019, it is advised to all the listed companies with BSE that the Trading Window shall close not later than end of every quarter till 48 hours after the declaration of Financial Results. In view of the aforesaid, it is hereby intimated that the trading window of Gujarat Petrosynthese Limited ('the Company') would be closed immediately on closure of Trading Hours on BSE on September 30, 2022, and shall be opened 48 hours after the declaration of unaudited Standalone and Consolidated Half-yearly Financial Results of the Company for the half-year and quarter ended on September 30, 2022.
