 The Company had availed financial assistance as term loan from ICICI Bank Ltd. and ICICI Bank has assigned all the rights, title and interests in the financial assistance granted by it to the Company, in favour of Edelweiss Asset Reconstruction Company Limited (the 'Lender'), acting in its capacity as trustee of EARC Trust SC 217 vide Assignment Agreement executed in favour of EARC on June 29, 2016. As per our books and accounts, outstanding of Edelweiss as on 31st March, 2018 was INR 177.69 Cr. (including interest) and the same is settled for a total settlement consideration of INR 41.0 Cr. (hereinafter referred as 'Company') wish to inform you that: The Company was controlling the management of A2Z Green Waste Management Ltd. (A2Z Green) along with another Promoter Group Company and now the Company has sold its 12,00,000 equity shares constituting 5.27% stake held in A2Z Green resulting into the Company losing its management control over A2Z Green and henceforth, A2Z Green has ceased to be a subsidiary of the Company for all purposes. The shareholding of the Company now stands reduced to 42.61%. Further the details of the information required to be disclosed under SEBI Circular CIR/CFD/CMD/4/2015 dated September 09, 2015 are provided herewith in Annexure-B.
