 This is to inform you that the Board of Directors of the company accorded its approval on January 18, 2021 in relation to sale of Company's entire 5% shareholding in Noida Power Company Limited ('NPCL') to Eminent Electricity Distribution Limited (''Eminent''), a wholly-owned subsidiary of CESC Limited, @ Rs 325 per share of NPCL for cash ('Divestment'). The said transaction of sale of NPCL shares is a related party transaction on an arm's length basis and is expected to be completed within a period of about one month. Upon completion of the Divestment, the Company's holding in NPCL will be Nil.
