 This is to inform you that as per Company's Code of Conduct for Prohibition of Insider Trading, framed pursuant to SEBI (Prohibition of Insider Trading) Regulations, 2015, the Trading Window for dealing in Securities of the Company will be closed for the purpose of declaration of the Audited Financial Results for the Quarter and Financial Year ending March 31, 2023 for all Designated Employees, Directors and Key Managerial Personnel of the Company from April 01, 2023. The Trading Window shall open 48 hours after the Audited Financial Results for the Quarter and Year ended March 31, 2023, become generally available. Accordingly, all Designated Persons as per the Company's Insider Trading Code have been advised not to trade in the securities of the Company during the aforesaid period of closure of Trading Window.

 Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company have at their meeting held today i.e March 22, 2023 considered and approved the appointment of Mr. Manish Rastogi as a Whole-Time Director (Additional Director) on the Board of the Company w.e.f. March 22, 2023 subject to the approval of members at the ensuing Annual General Meeting of the Company. He shall be continuing as the Chief Executive Officer of the Company in addition to being a Whole-Time Director on the Board of the Company. As per the provisions of Section 161 of the Companies Act, Mr. Manish Rastogi shall hold office till the ensuing Annual General Meeting of the Company.

NCLAT halts NCLT's order allowing insolvency proceedings against Zee Learn

 The National Company Law Appellate Tribunal (NCLAT) has set aside an NCLT order allowing insolvency proceedings against the Essel group firm Zee Learn and directed the Mumbai bench of NCLT to pass a fresh order. Earlier on February 10, the National Company Law Tribunal (NCLT) had admitted the plea filed against Zee Learn by its financial creditor Yes Bank Ltd (YBL) and directed to initiate insolvency proceedings against it. This was immediately challenged by Zee Learn before the appellate tribunal NCLAT, which "allow this Appeal and set aside the order dated February 10, 2022". The appellate tribunal has said the corporate debtor (Zee Learn) had also moved an interim application before NCLT requesting to dismiss the Section 7 Application against it. This was entertained by NCLT and notices to YBL and others were issued on January 19, and the date of February 21 was fixed for a hearing. ZEE LEARN LTD. - 533287 - Corporate Insolvency Resolution Process (CIRP)-Updates - Corporate Insolvency Resolution Process (CIRP)

 This is further to our intimation dated February 11, 2023 in respect of initiation of Corporate Insolvency Resolution Process (CIRP) vide order of Ld. NCLT, Mumbai dated February 10, 2023 passed by in the matter of Yes Bank limited V/s Zee Learn Limited (the NCLT Admission Order). An Appeal was filed by Shri Surender Singh, the then Suspended Director of the Company, before the Hon'ble NCLAT challenging the NCLT Admission Order, on February 13, 2023. The Company would like to inform you that Hon'ble NCLAT vide an Order dated February 16, 2023, directed to allow the said Appeal and set aside the NCLT Admission Order. Resultantly, the Board of the Company is out of suspension and stands reinstated.
