In this regard we wish to inform you that the name of the our Company is unnecessarily dragged in the said news article when admittedly we are not the party to the so-called Memorandum of Family Settlement (MOFS) and the related litigation The matter is before High Court of Delhi - Suit No CS (OS) 329/2023 - and at present under mediation before the mediator, Justice A.K Sikri (Retd Judge Supreme Court of India), appointed by Hon''ble High Court of Delhi. We shall keep the stock exchanges updated on any significant developments in this regards. At this point, we would also like to state that Mr. Sameer Kanwar does not hold any share in the Company as of date. This is your information please.

 In accordance with Regulation 30A read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("LODR Regulations"), this is to inform that the Company has received from Mr. Sameer Kanwar a photocopy of the purported Memorandum of Family settlement dated 13-04-2012 entered upon amongst family members of Mr. Surinder Paul Kanwar comprising of Mr. Sameer Kanwar, his brother Mr. Sachit Kanwar, Father Mr. Surinder Paul Kanwar and various other unlisted entities being the confirming parties. Mr. Surinder Paul Kanwar has contested the aforesaid document and mentioned to the Company that the matter is before Delhi High Court in a Civil Case - CS(OS) 329/2023 filed by Mr. Sachit Kanwar interalia against Mr. Surinder Paul Kanwar and Mr. Sameer Kanwar. The next date of hearing is 13th December, 2023. This is further to clarify that Bharat Gears Limited is not a party to the said civil case. You are requested to take the information on record.
